Terms of Service – Goyals Technologies

These Terms of Service (“Terms”) govern your use of the digital marketing services (“Services”) provided by Goyals Technologies (“we”, “us”, “our”). By engaging our Services, you agree to these Terms.

1. Services Provided

Goyals Technologies offers a wide range of digital marketing and creative services, including but not limited to:

Website Development
Search Engine Optimization (SEO)
Social Media Marketing (SMM)
Pay-Per-Click (PPC) Advertising (Meta Ads, Google Ads)
Performance Marketing
AI Automation Solutions
Influencer Marketing
E-Commerce Marketing
Content Marketing
Email Marketing
CGI Videos
Website Strategy & Analytics

Each service may be governed by a separate Service Agreement, Proposal, or Scope of Work (SOW) that outlines deliverables, timelines, and pricing.

2. Eligibility

To use our Services, you must:

Be at least 18 years of age.
Have the legal capacity to enter into binding contracts.

By using our Services, you represent and warrant that you meet these eligibility requirements.

3. Client Responsibilities

Clients agree to:

Provide accurate, complete, and current information necessary for delivering Services.
Cooperate in good faith to achieve agreed marketing goals.
Make timely payments as outlined in your proposal, agreement, or invoice.
Ensure all content, materials, and instructions comply with applicable laws and do not infringe third-party rights.

⚠️ Failure to meet these responsibilities may result in delays, reduced effectiveness, or suspension of Services.

4. Payments and Fees

Fees for Services will be detailed in a separate agreement or invoice.
Payment Schedule:
- 40% advance before project commencement.
- 60% balance within 15 days after project start, unless otherwise agreed in writing.
Additional work outside the agreed scope will be charged separately (with prior client approval).
Non-payment may result in suspension, delay, or termination of Services.
All fees are exclusive of applicable taxes unless stated otherwise.

5. Intellectual Property

Our IP: All content, trademarks, graphics, software, methodologies, and intellectual property created or provided by us remain the sole property of Goyals Technologies, unless otherwise agreed in writing.
Client IP: Content, materials, or proprietary information provided by the client remain the property of the client.
Clients are granted a limited, non-transferable, non-exclusive license to use deliverables solely for the intended purpose.

6. Confidentiality

Both parties agree to:

Maintain the confidentiality of proprietary, strategic, and sensitive information exchanged during the engagement.
Not disclose confidential information without prior written consent, unless required by law.

7. Termination

By Us: We may suspend or terminate Services at any time, with or without cause, with reasonable notice.
By Client: Clients may terminate Services by providing written notice as per the termination clause in the applicable agreement or SOW.

👉 Upon termination, all outstanding fees and charges for Services rendered remain payable.

8. Disclaimers

Services are provided on an “as is” and “as available” basis.
We do not guarantee specific results (e.g., first-page search rankings, fixed ROI, or revenue growth).
Outcomes depend on multiple factors beyond our control, including competition, market changes, algorithm updates, and user behavior.

9. Limitation of Liability

To the maximum extent permitted by law:

Goyals Technologies shall not be liable for indirect, incidental, consequential, special, or punitive damages (including lost profits or loss of business).
Total liability for any claim related to Services is limited to the amount paid by the client for the specific Services giving rise to the claim.

10. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India, without regard to conflict of law principles.
All disputes arising from these Terms shall be subject to the exclusive jurisdiction of courts in Jaipur, Rajasthan, India.

11. Changes to Terms

We may update these Terms to reflect changes in law, technology, or business practices.
Updates will be posted on this page with the “Last Updated” date.
Continued use of our Services after changes constitutes acceptance of the revised Terms.
